Terms of Service
Last updated: January 1, 2026
This page is a general description of the terms on which Solvantra makes its website and platform available. It is provided for information and does not constitute legal advice. It should be reviewed by a qualified solicitor before being relied upon as a binding commercial agreement.
1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the Solvantra website at solvantra.io and the Solvantra SaaS access management platform made available at app.solvantra.io (together, the "Service"). By accessing the website, creating an account, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, where applicable, the organisation you represent ("Customer"). If you do not agree to these Terms, do not use the Service.
2. Definitions
- "Solvantra", "we", "our", "us" means the Solvantra business providing the Service.
- "Customer" means the organisation that registers for or is authorised to use the Service.
- "Authorized User" means an individual authorised by Customer to access the Service on Customer's behalf, such as an employee or contractor.
- "Customer Data" means data, including identity, directory, and SaaS access data, submitted to or generated within the Service in connection with Customer's use of it.
- "Connected Application" means a third-party identity provider, directory, or SaaS application that Customer chooses to connect to the Service via an Integration.
- "Integration" means a supported connection, established using credentials or permissions Customer controls, through which the Service reads or acts upon data from a Connected Application.
3. Use of the Service
Subject to these Terms, Solvantra grants Customer a non-exclusive, non-transferable right to access and use the Service during the period Customer has a valid account or subscription, solely for Customer's own internal business purposes and solely in connection with identity and SaaS environments Customer is authorised to manage. The Service, its underlying software, and its documentation may only be used as made available by Solvantra; no other rights are granted by implication.
4. Accounts
Customer is responsible for all activity that occurs under its account and for maintaining the confidentiality of any login credentials issued to its Authorized Users. Customer must provide accurate registration information and keep it up to date, and must notify Solvantra promptly of any known or suspected unauthorised use of its account.
5. Customer Responsibilities
Customer is responsible for: (a) configuring the Service appropriately for its environment; (b) determining which Connected Applications to integrate and which permissions to grant; (c) reviewing and, where the Service surfaces recommended governance or remediation actions, deciding whether to apply them; and (d) ensuring its Authorized Users comply with these Terms and any applicable Solvantra acceptable use policy. Solvantra does not control, and is not responsible for, decisions Customer makes about its own identity or access environment.
6. Integrations and Third-Party Services
Solvantra is not an identity provider, directory service, or SaaS application, and does not replace Customer's own identity provider or SaaS applications. The Service operates by connecting to Connected Applications that Customer chooses to authorise. Availability, reliability, and functionality of Connected Applications depend on those third parties and are outside Solvantra's control. Solvantra is not responsible for outages, changes, or restrictions imposed by a Connected Application's provider, or for the accuracy of data received from a Connected Application. Customer's use of any Connected Application remains subject to that provider's own terms.
7. Permissions and Authorization
Customer represents and warrants that it has all rights, consents, and authority necessary to connect each Connected Application to the Service, to grant the Service the access and permissions Customer configures, and to allow Solvantra to process the resulting Customer Data as contemplated by these Terms and Solvantra's Privacy Policy. Customer is responsible for ensuring that any Integration it configures complies with the applicable Connected Application provider's own terms of service and API policies, and with applicable law.
8. Acceptable Use
Customer must not, and must not permit any Authorized User or third party to: reverse engineer, decompile, or attempt to derive the source code of the Service except as permitted by law; probe, scan, or test the vulnerability of the Service without authorisation; attempt to access data or accounts belonging to another Solvantra customer; use the Service to store or transmit unlawful content or to violate the rights of any third party; interfere with or disrupt the integrity or performance of the Service; or use the Service in a manner that violates the terms of a Connected Application provider. Additional detail is set out in Solvantra's Acceptable Use Policy, which forms part of these Terms.
9. Intellectual Property
As between the parties, Solvantra and its licensors retain all right, title, and interest in and to the Service, including all software, design, and documentation, and all intellectual property rights therein. No rights are granted to Customer other than the limited right to use the Service as set out in these Terms. Customer retains all right, title, and interest in and to Customer Data.
10. Customer Data
Solvantra will process Customer Data in order to provide the Service, in accordance with these Terms, Solvantra's Privacy Policy, and, where applicable, a separate Data Processing Agreement. Customer is responsible for the accuracy, quality, and legality of Customer Data and of the means by which Customer acquired it. Solvantra does not sell Customer Data.
11. Service Availability
Solvantra aims to keep the Service available and to provide reasonable notice of planned maintenance where practical, but does not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be suspended for scheduled or emergency maintenance, or as a result of factors outside Solvantra's reasonable control.
12. Security
Solvantra maintains administrative, technical, and physical safeguards designed to protect Customer Data, as further described in Solvantra's Privacy Policy. No method of transmission or storage is completely secure, and Solvantra cannot guarantee that unauthorised access, disclosure, alteration, or loss of data will never occur. Customer is responsible for maintaining the security of its own credentials, devices, and networks used to access the Service.
13. Fees and Payment
Where Customer subscribes to a paid plan, fees are as set out on Solvantra's Pricing page or in an applicable order form, and are payable in accordance with the billing terms presented at the point of purchase. Except as required by law or expressly stated otherwise, fees are non-refundable. Solvantra may change its pricing for future billing periods; where required, Solvantra will provide advance notice of any such change.
14. Suspension and Termination
Either party may terminate these Terms as set out in an applicable order form, or, in the absence of one, by ceasing use of and cancelling the Service. Solvantra may suspend or terminate Customer's access to the Service, in whole or in part, if Customer materially breaches these Terms and does not remedy the breach within a reasonable period after notice, or where suspension is reasonably necessary to prevent harm to the Service, other customers, or third parties. On termination, Customer's right to access the Service ends, subject to any data export or deletion terms set out in Solvantra's Privacy Policy or an applicable Data Processing Agreement.
15. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Solvantra disclaims all warranties, express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. Solvantra does not warrant that the Service will identify, prevent, or remediate every identity or access risk in Customer's environment, and does not guarantee any specific security outcome or cost saving from use of the Service.
16. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages. Except in respect of liabilities that cannot be limited by law (such as liability for death or personal injury caused by negligence, or fraud), each party's total aggregate liability arising out of or in connection with these Terms will be limited as set out in an applicable order form or, in the absence of one, to the fees paid by Customer to Solvantra in the twelve (12) months preceding the event giving rise to the claim.
17. Indemnification
Customer agrees to indemnify and hold Solvantra harmless from third-party claims, damages, and reasonable costs arising from Customer's breach of Section 7 (Permissions and Authorization), Customer's misuse of the Service in violation of these Terms, or Customer Data infringing or misappropriating the rights of a third party, in each case to the extent permitted by applicable law.
18. Governing Law and Jurisdiction
These Terms, and any dispute arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any such dispute, without prejudice to any mandatory consumer protection rights Customer may have under the law of its own country of residence. [Legal review required: confirm registered entity name, company number, and registered address before publication.]
19. Changes to These Terms
Solvantra may update these Terms from time to time, for example to reflect changes to the Service or applicable law. Material changes will be indicated by updating the "Last updated" date above, and, where appropriate, through additional notice. Continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
